These Terms of Service (“Terms”) constitute a legally binding agreement between Joinable Labs, Inc., a Delaware corporation (“Joinable” or the “Company”), and you (“Customer”), and govern your use of Joinable’s AI application prototyping platform (the “Platform”), accessible via https://joinablelabs.com. The Platform enables rapid prototyping of Retrieval-Augmented Generation (RAG) applications using private data, without the need for coding.
By executing an Order Form or by accessing or using the Platform, Customer agrees to be bound by these Terms, including any policies referenced herein.
Joinable grants Customer a limited, non-transferable, non-exclusive license to access and use the Platform in accordance with these Terms and the applicable Order Form, for the duration of the Subscription Term.
Customer is responsible for managing its user accounts and ensuring all Users comply with these Terms. Customer must ensure account credentials are secure and used only by the assigned User.
Customer retains ownership of all data uploaded to the Platform. Customer grants Joinable a license to use such data only as necessary to provide and improve the Platform. Sensitive data must not be uploaded without prior agreement.
Joinable retains all rights in the Platform, including all content, code, and materials. Customer owns the output generated from its data, to the extent permitted by law, but acknowledges that such output may not be unique.
Customer shall pay all fees specified in the Order Form. Subscription fees are billed in advance and are non-refundable unless otherwise agreed. Joinable may suspend access for late or failed payments.
Each party agrees to protect the other’s Confidential Information using reasonable safeguards. This obligation survives termination of the agreement for five years.
Subscriptions auto-renew unless cancelled. Either party may terminate for cause with 30 days' notice. Joinable may suspend access immediately if misuse is suspected or payment fails.
The Platform is provided "as-is" and "as available." Joinable disclaims all warranties, including merchantability, fitness for a particular purpose, and non infringement.
Joinable’s aggregate liability is limited to the fees paid by Customer in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.
Customer agrees to indemnify Joinable against any third-party claims arising from Customer’s data, use of the Platform, or violation of these Terms.
These Terms are governed by the laws of California. Disputes will be resolved in the courts of San Francisco County, CA. Terms may be updated from time to time, with notice provided to Customer.
